Terms & Conditions

Practical Minds Ltd: Standard Terms and Conditions for all customers.

This Agreement is entered into at the commencement of first project between Practical Minds Ltd, 1 Cranmer St, Nottinghamshire, NG10 1NJ (“Company”) and yourselves, our customer (“Client”).

Scope of Services:
The Company shall provide the Client with any of the following services: Project Management, Consultation, Design, Design Development, Manufacture, Delivery, Installation.

Payment Terms:
The Client agrees to pay the Company the quoted and approved project sum, to be billed as follows: 60% upfront, 30% prior to dispatch, 10% upon completion. Any other terms are to be agreed by Managing Partner or Founder.

Term and Termination:
This Agreement shall commence at start of first project, and continue indefinitely, unless terminated earlier by either party giving 30 days’ written notice. Termination will not negate the terms of this document relating to work carried out whilst it was in force.

Confidentiality:
Both parties agree to keep all proprietary information confidential and not to disclose it to any third party without the prior written consent of the other party.

Liability:
The Company shall not be liable for any indirect, incidental, or consequential damages resulting from the provision of services under this Agreement.

Force Majeure:
Neither party shall be in breach of this Agreement if there is any total or partial failure of performance by its due to any cause beyond its reasonable control.

Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties agree to submit to the exclusive jurisdiction of the subsequent courts.

Amendments:
Any amendments to this Agreement must be in writing and signed by both parties.

Assignment:
Neither party may assign or transfer their rights or obligations under this Agreement without prior written consent from the other party.

Entire Agreement:
This Agreement contains the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter of this Agreement.
